Terms of service: Witnes Books

These Terms and Conditions ("Terms") apply to the access and use of the Witnes Books web application and website at books.witnes.in (the "Platform") and the services provided through it (the "Services").

The Platform is owned, managed and operated by Witness Technologies OPC Private Limited, having its registered office at 101 FF Hardik Shopping Centre, Opp Narsinhji Pole, M G Road, Vadodara, Gujarat, India 390001 ("us"/"we"/"Witnes Books"/"Company").

These Terms govern use of the Platform by the businesses that hold a Witnes Books account ("Organisations") and the people they give a login to, including owners, staff, accountants and chartered accountants ("Users" or "you").

Important notice. If you do not agree to be bound by all of these Terms, please do not use the Platform. By accessing or using the Platform, registering for the Services, or uploading, submitting or downloading any information, you agree to these Terms.

What you can do: use Witnes Books to keep your business's books under a limited, non-transferable licence.
What you own: your Organisation's data stays yours.
What's prohibited: misuse, unauthorised access, reverse engineering or illegal activity.

1. Acceptance of Terms

Your use of the Platform is subject to these Terms, which we may update from time to time. Please check them from time to time so you are aware of any changes. Your use of the Services is under a limited, non-exclusive, non-transferable, non-assignable licence granted by us only for the purposes described here.

We may modify or replace any part of these Terms, or change, suspend or discontinue any part of the Services or Platform, by posting a notice on the Platform or by informing you through other means.

2. Description of the Services

Witnes Books is cloud-based accounting software for Indian businesses. It lets Organisations record sales, purchases, expenses, banking, inventory and journals in a double-entry chart of accounts, and works out GST on documents from the details the Organisation enters.

Early access

Witnes Books is in early access. Features may be added, changed or withdrawn, and some parts of the product are not yet available.

Service availability

We work to keep the Services available and working, but we do not guarantee that your browser or device will be compatible with the Platform or that the Services will be uninterrupted or error-free. We are not responsible for interruptions caused by network failures or other events beyond our reasonable control.

Not tax or legal advice. Witnes Books is a tool for keeping books. It calculates tax from the rates, places of supply and other details entered in it, but it does not certify that your books, invoices or returns comply with the law, and it does not give tax, accounting or legal advice. The Organisation is responsible for the accuracy of its books and for its own filings; please consult a qualified professional.

3. Accounts

To use the Services you must create an account. You are responsible for making sure the information you provide is accurate, not misleading and kept up to date.

Keep your sign-in details safe and do not share them
We are not liable for losses caused by misuse of your sign-in details
Do not create an account using another person's details
The Organisation's administrators decide who gets a login and which role they hold, and are responsible for those Users
We may suspend or terminate accounts that breach these Terms

4. Your data

Ownership

The Organisation owns the data it enters into Witnes Books. We use it only to provide the Services to that Organisation, as described in our Privacy Policy.

Data about others

The Organisation is responsible for having the right to enter information about its customers, vendors, employees and other people, and for any consent that applicable law requires.

Confidentiality

We treat each Organisation's data as confidential and do not share it with other Organisations. Data is presented "as is" from what Users enter, and we make no warranty that it is accurate.

5. Prohibited conduct

You agree that you will not, and will not permit anyone to:

Copy, resell or republish the Platform
Make the Platform available to unauthorised people
Remove or modify proprietary notices
Reverse engineer, decompile or disassemble the Platform
Use robots, scrapers or other automated means to access the Platform without our written permission
Attempt unauthorised access, or probe, test or breach the Platform's security or authentication
Disrupt or interfere with the Platform, its servers or networks, or other Users' access
Use the Platform to record false transactions, issue fraudulent invoices or evade tax
Use the Platform for any other illegal activity

6. Communication

You agree to receive communications from us by email, SMS or phone about your account, the Services, updates and announcements. In accordance with the TRAI Telecom Commercial Communications Customer Preference Regulations, each sign-in or transaction is treated as a request to receive service-related communication. If you do not wish to receive promotional communications, write to us at info@witnesstechnologies.in.

7. Fees

Witnes Books is in early access and has no published price. Any fees will be agreed with the Organisation before they apply.

8. Termination

We may terminate your access to all or any part of the Platform or Services if you fail to comply with these Terms. Provisions that by their nature should survive termination will survive, including warranty disclaimers, indemnity and limitations of liability.

Your data after termination

If the Services are discontinued for your Organisation, we will make reasonable efforts, at our discretion, to help you take a copy of your data in a suitable electronic format.

9. Disclaimer

Important legal notice. THE PLATFORM (INCLUDING ANY CONTENT) IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not warrant that: (a) the Services will be secure or available at any particular time or place; (b) any defects or errors will be corrected; (c) any content or software is free of viruses or harmful components; or (d) the results will meet your requirements.

10. Indemnification

You will defend, indemnify and hold harmless Witnes Books, Witness Technologies OPC Private Limited, its affiliates and each of their employees, contractors, directors, suppliers and representatives from all liabilities, losses, claims and expenses, including reasonable legal fees, that arise from or relate to your use or misuse of the Platform, or your violation of these Terms or of any applicable law.

11. Limitation of liability

Important legal notice. This section limits our liability. Please read it carefully, as it affects your legal rights.

To the fullest extent permitted by law, we (and our directors, employees, agents, partners and suppliers) are not liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the Services:

For lost profits, data loss, loss of goodwill or opportunity, or the cost of substitute goods or services
For any tax, interest, penalty or late fee assessed on the Organisation
For special, indirect, incidental, punitive or consequential damages of any kind
For direct damages in excess, in aggregate, of the fees paid by you for the Services in the three (3) months before the claim
For any matter beyond our reasonable control

12. Governing law

These Terms are governed by the laws of India, without regard to conflict of law principles. All disputes arising under or in connection with the Platform or these Terms are subject to the exclusive jurisdiction of the courts at Vadodara, Gujarat, India.

13. Miscellaneous

These Terms, with our Privacy Policy, are the entire agreement between you and us about the Platform and Services
If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary
Failure to exercise a right is not a waiver of it
You may not assign these Terms without our prior written consent; we may assign them
No agency, partnership or joint venture is created
